IMPORTANT LEGAL AGREEMENT

These Terms and Conditions constitute a legally binding agreement. By accessing or using this Service, you agree to be bound by these Terms. Please read them carefully before purchasing or using the Course.

1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Mighty Jo LLC, a Florida limited liability company ("Company," "we," "us," or "our"), governing your access to and use of the Understanding Child Evaluations & Support Pathways course and all related services, content, materials, and products (collectively, the "Service" or "Course").

BY ACCESSING, BROWSING, OR USING THIS SERVICE, OR BY CLICKING "I AGREE" OR COMPLETING A PURCHASE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you must not access or use the Service.

You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are accessing the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. No Professional Relationship Created

YOUR USE OF THIS SERVICE DOES NOT CREATE ANY PROVIDER-PATIENT, THERAPIST-CLIENT, PSYCHOLOGIST-CLIENT, ATTORNEY-CLIENT, OR OTHER PROFESSIONAL RELATIONSHIP BETWEEN YOU AND THE COMPANY, THE COURSE CREATOR, OR ANY AFFILIATED PARTIES.

No duty of care, fiduciary duty, or professional obligation is established through your purchase, access, or use of this Course. You acknowledge that you have no expectation of confidentiality or professional privilege with respect to any information you provide or receive through this Service.

4. Professional Consultation Required

You are solely responsible for seeking appropriate professional advicebefore making any decisions or taking any actions based on information in this Course. You should consult qualified, licensed professionals regarding:

  • Your child's health, development, behavior, or emotional well-being
  • Whether your child should be evaluated and by whom
  • Interpretation of evaluation results or professional reports
  • Educational placement decisions, IEPs, or 504 plans
  • Treatment, therapy, or intervention options
  • Legal rights, advocacy, or due process procedures

Never disregard, delay, or avoid seeking professional advice because of something you have read or learned in this Course. The Company assumes no responsibility for any adverse outcomes resulting from your use or misuse of the content provided.

5. Course Access and License

Upon purchase, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Course for personal, non-commercial purposes only. Your access to the Course is valid for a period of 180 days (approximately 6 months) from the date of purchase. After this period, your access will automatically expire.

This license expressly does NOT include the right to:

  • Reproduce, distribute, publicly display, or publicly perform Course materials
  • Modify, adapt, or create derivative works from Course content
  • Share, transfer, or sublicense your account credentials to others
  • Use the Course for any commercial purpose without express written permission
  • Download, copy, or save Course materials beyond explicitly provided downloadable resources
  • Use automated tools, bots, or scrapers to access the Service
  • Circumvent any access restrictions or security measures

We reserve the right to terminate or suspend your access at any time for violation of these Terms, without refund or liability.

6. Payment, Pricing, and NO REFUNDS

ALL SALES ARE FINAL — NO REFUNDS UNDER ANY CIRCUMSTANCES

Due to the digital nature of this Course and immediate access to all course materials upon purchase, we do not offer refunds, returns, exchanges, or credits under any circumstances. By completing your purchase, you expressly waive any right to a refund.

The Course fee is $29 USD, payable in full at the time of purchase. By completing your purchase, you acknowledge and agree that:

  • You will receive immediate access to all Course content upon payment
  • All sales are final and no refunds will be provided for any reason
  • Your access is limited to 180 days from the date of purchase
  • You have reviewed the Course curriculum, Educational Disclaimer, and these Terms
  • You understand the educational nature and limitations of the Course
  • You are making an informed purchase decision

7. User Responsibilities and Conduct

You agree to use this Service only for lawful purposes and in compliance with these Terms and all applicable laws and regulations. You are solely responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring your use complies with all applicable laws
  • Seeking appropriate professional advice for your specific circumstances
  • Any decisions or actions you take based on Course content

Prohibited conduct includes but is not limited to:

  • Sharing your login credentials with others
  • Reproducing, distributing, or selling Course content
  • Attempting to gain unauthorized access to our systems
  • Using automated tools to access the Service
  • Harassing, threatening, or defaming others
  • Uploading malicious code or interfering with the Service

8. Intellectual Property Rights

All content, materials, and resources provided through this Service, including but not limited to text, graphics, logos, images, audio, video, software, and the compilation thereof, are the exclusive property of Mighty Jo LLC or its content suppliers and are protected by United States and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any Course materials without our prior written consent, except as expressly permitted by these Terms.

9. Disclaimer of Warranties

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • ACCURACY, COMPLETENESS, OR TIMELINESS OF CONTENT
  • NON-INFRINGEMENT
  • THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
  • THAT ANY RESULTS OR OUTCOMES WILL BE ACHIEVED

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MIGHTY JO LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR THE COURSE CREATOR BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR:

  • LOSS OF PROFITS, REVENUE, OR BUSINESS
  • LOSS OF USE, DATA, OR GOODWILL
  • PERSONAL INJURY OR EMOTIONAL DISTRESS
  • ANY DECISIONS OR ACTIONS TAKEN BASED ON COURSE CONTENT
  • ANY OUTCOMES RELATED TO YOUR CHILD'S EVALUATION, EDUCATION, OR TREATMENT
  • ANY OTHER INTANGIBLE LOSSES

THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID FOR THE COURSE ($29 USD).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

11. Assumption of Risk

You expressly acknowledge and agree that your use of this Service is at your sole risk. You assume all risks associated with:

  • Your use of the Course and its content
  • Any decisions or actions you take based on Course information
  • Any outcomes resulting from applying Course concepts
  • Your reliance on any information provided through the Service

The Company shall not be liable for any harm, injury, adverse outcomes, or damages of any kind resulting from your use of the Service or reliance on its content.

12. Indemnification

You agree to indemnify, defend, and hold harmless Mighty Jo LLC, Dr. Ely, Illumination + Inspiration, and their respective officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

  • Your access to or use of the Service
  • Your violation of these Terms or any applicable law
  • Your violation of any rights of any third party
  • Any decisions or actions you take based on Course content
  • Any claim that your use of the Service caused damage to a third party

13. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Pinellas County, Florida, and shall be conducted by a single arbitrator.

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. For any matters not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Pinellas County, Florida.

15. Modifications to Terms

We reserve the right to modify these Terms at any time in our sole discretion. Changes will be effective immediately upon posting to the Service. Your continued use of the Service following any modifications constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

17. Entire Agreement

These Terms, together with the Educational Disclaimer, Privacy Policy, and Refund Policy, constitute the entire agreement between you and the Company regarding your use of the Service and supersede all prior agreements, representations, and understandings.
